Central clearing has a mechanism that works only on the day something breaks. It is called the default waterfall: a structure for absorbing losses in a fixed order. This essay follows three cases — 2008, when the mechanism worked as designed; 2018, when the mutualized resources were used; and 2022, when reality ran past what the design had assumed.清算の世界には、何かが壊れた日にだけ働く仕組みがある。デフォルト・ウォーターフォールと呼ばれる、損失を順番に受け止めるための仕組みである。本稿では、この仕組みが設計どおりに機能した2008年、共同資源まで使われた2018年、そして現実が設計の想定を超えた2022年という三つの事例をたどる。
A bridge's strength is invisible on a sunny day. Central clearing has a mechanism that works only on the day something breaks. It is called the default waterfall: a structure for absorbing losses in a fixed order.
橋の強さは、晴れた日には分からない。清算の世界には、何かが壊れた日にだけ働く仕組みがある。デフォルト・ウォーターフォールと呼ばれる、損失を順番に受け止めるための仕組みである。
This essay follows three cases — 2008, when the mechanism worked as designed; 2018, when the mutualized resources were used; and 2022, when reality ran past what the design had assumed. What emerges from them is not only the technical machinery of clearing. Why are preparations that look like nothing but cost in normal times necessary at all? Who bears the first loss, and from what point is the loss mutualized? And when a situation cannot be handled by the rules laid down in advance, who makes the final judgment?
本稿では、この仕組みが設計どおりに機能した2008年、共同資源まで使われた2018年、そして現実が設計の想定を超えた2022年という三つの事例をたどる。そこから見えてくるのは、清算制度の技術的な仕組みだけではない。平時にはコストにしか見えない備えが、なぜ必要なのか。誰が最初に損失を負い、どこから損失を共同化するのか。そして、あらかじめ定められたルールでは処理できない事態に、最後は誰が判断するのか。
This is a story about clearing, and at the same time a story about how to design institutions that must not break.
これは清算の話であると同時に、壊れてはならない制度をどのように設計するかという話でもある。
1The Order in Which Losses Are Absorbed — What a Default Waterfall Is損失を受け止める順序――デフォルト・ウォーターフォールとは何か
Let me begin with the machinery. It reads a little like a textbook, but with this in place, the differences between the three cases that follow become easier to see. A clearing house — a central counterparty, or CCP — is an institution that stands between the buyers and sellers in a market and becomes the counterparty to both. It is the buyer to every seller and the seller to every buyer. This is what allows the trades a participant has entered into to go on being performed even if that participant fails.
まず、仕組みから説明したい。少し教科書的な話になるが、ここを押さえておくと、後に続く三つの事例の違いが見えやすくなる。清算機関、すなわち中央清算機関(Central Counterparty:CCP)は、市場の売り手と買い手の間に立ち、双方の取引相手となる機関である。売り手に対しては買い手となり、買い手に対しては売り手となる。これによって、ある市場参加者が破綻しても、その参加者が結んでいた取引の履行を継続できるようにする。
So when a participant actually does default, and a loss arises in the course of closing out its positions, who bears that loss? The default waterfall is what sets the order. Losses are absorbed by drawing on predetermined resources from the top down, layer by layer, which is why it is called a waterfall1.
では、実際に参加者が破綻し、そのポジションを処理する過程で損失が生じた場合、その損失は誰が負担するのか。その順序を定めたものが、デフォルト・ウォーターフォールである。損失が、あらかじめ定められた資源を上から順に使いながら吸収されていくため、「滝」を意味するウォーターフォールと呼ばれる1。
In a typical waterfall, the first resource used is the margin posted by the defaulting participant itself. Next comes that participant's own contribution to the default fund. If losses remain after that, the CCP's own capital contribution — its Skin in the Game — is applied. If losses still remain, the default fund contributions of the surviving participants are used. Last in line stands the right to call for additional contributions from participants. The precise order differs from CCP to CCP, but the underlying idea is shared: exhaust the defaulter's own resources first, and only if those are not enough begin to mutualize the loss across the other participants.
一般的なウォーターフォールでは、最初に使われるのは、破綻した参加者自身が差し入れていた証拠金である。次に、その参加者自身がデフォルトファンドへ拠出していた資金が使われる。それでも損失が残る場合には、CCPが自ら拠出している自己資本、いわゆるSkin in the Gameが投入される。さらに損失が残れば、生き残った他の参加者が拠出していたデフォルトファンドが使われる。最後には、参加者に対する追加拠出の請求が控えている。CCPによって具体的な順序は異なるが、基本的な考え方は共通している。まず破綻者自身の資源を使い切り、それでも足りない場合に初めて、損失を他の参加者へ共同化する。
Beyond that lie variation margin gains haircutting (VMGH), which cuts the payments owed to participants sitting on gains; tear-up, which forcibly terminates part of the contracts; and resolution by the authorities. These belong less to the ordinary waterfall than to recovery — the CCP restoring its own financial balance — and to resolution as a statutory regime. Still, it is worth remembering that the loss-absorption machinery does not simply stop once the default fund has been used up. In the 2022 case, discussed later, this very boundary becomes the issue.
そのさらに先には、利益が出ている参加者への支払いを削減する変動証拠金ゲイン・ヘアカット(VMGH)、契約の一部を強制的に終了させるティアアップ、そして当局による破綻処理がある。これらは通常のウォーターフォールというより、CCPが財務的な均衡を回復するためのリカバリーや、制度としての破綻処理の領域に属する。ただし、損失処理の仕組みが、デフォルトファンドを使い切ったところで突然終わるわけではないことは、覚えておく必要がある。後に見る2022年の事例では、この境界そのものが問題になる。
The first to bear the loss is the defaulter itself, and mutualization across the other participants begins only after those resources have been exhausted. There are three important ideas folded into this order.
最初に損失を負担するのは破綻者自身であり、他の参加者への損失の共同化は、その資源を使い切った後に始まる。この順序には、三つの重要な考え方がある。
The first is the order of responsibility. Japanese finance once had a phrase for the alternative: the hōgachō method, named after the subscription ledger passed from hand to hand. When a financial institution failed, the surviving institutions pooled money to rescue it. It was mutual aid, but the boundary between the failed party's own responsibility and the burden carried by everyone else was easily blurred.
第一は、責任の順序である。かつて日本の金融界には、「奉加帳方式」という言葉があった。金融機関が破綻すると、生き残った金融機関が資金を出し合って救済する。相互扶助ではあるが、破綻した当事者の責任と、他の参加者の負担との境界は曖昧になりやすい。
The modern waterfall starts from the opposite premise. The defaulter's own resources are used first, and as a matter of principle no loss is passed to others until those resources are exhausted. Shared burden begins only after the defaulter's own burden has run out.
現代のウォーターフォールは、これとは逆の発想に立つ。破綻者自身の資源を最初に使い、原則として、それを使い切るまで損失を他者へ移さない。共同負担は、破綻者自身の負担が尽きた後に始まる。
The second is pre-funding. The margin and the default fund that make up the waterfall are not collected once a crisis has begun. They are posted in advance, in the form of cash, government bonds and the like.
第二は、事前拠出である。ウォーターフォールを構成する証拠金やデフォルトファンドは、危機が起きてから集めるのではない。現金や国債などの形で、あらかじめ差し入れられている。
Promises exchanged in the middle of a crisis are the harder to keep the more severe the crisis. The promise "we will put up the money if it becomes necessary" is least reliable at precisely the moment the money is truly necessary. That is why the system is built not to depend, at the moment of crisis, on anyone's goodwill, on a fresh management decision, or on a committee resolution alone. At least part of the money needed is already in place before the crisis arrives.
危機の最中に交わされる約束は、危機が深刻であるほど実行されにくい。「必要になったら資金を出す」という約束が最もあてにならないのは、まさに本当に資金が必要になったときである。だからこそ、制度は危機の瞬間に、誰かの善意や、新たな経営判断、会議体の決議だけに依存しないように作られている。必要な資金の少なくとも一部は、危機が来る前から既に用意されている。
The third is that the contributed funds themselves support the discipline of the participants. A contribution to the default fund is not the same as an insurance premium already paid. For as long as one remains a participant, it stays tied up as money that may be called on to absorb losses.
第三は、拠出した資金が参加者の規律を支えるという点である。デフォルトファンドへの拠出金は、支払い済みの保険料とは異なる。参加者であり続ける限り、損失を負担する可能性のある資金として拘束され続ける。
The probability of losing it is low, but it can actually be lost. Which is why participants cannot be indifferent to the risks the participants next to them are taking, or to whether the CCP is setting margin at an appropriate level. The possibility that one's own money is exposed is what produces scrutiny of the system, and discipline within it.
失う確率は低くても、実際に失う可能性がある。だからこそ参加者は、自分の隣にいる他の参加者がどのようなリスクを取っているのか、CCPが適切な証拠金を設定しているのかに無関心ではいられない。自分の資金が危険にさらされる可能性が、制度への監視と規律を生む。
In normal times, however, all of this looks like cost. Margin is money that cannot be put to work; the default fund is money that ordinarily goes unused. The default management drills that the clearing world runs on a regular schedule generate no revenue either. Measured by efficiency alone, every one of them is a candidate for cutting.

What the waterfall actually exists for is hard to see on a day when nothing happens. It shows itself on the day a participant really does default.
ウォーターフォールが本来何のために存在するのかは、何も起きない日には見えにくい。それが姿を現すのは、参加者が本当に破綻した日である。
2The Day It Stopped at the First Layer — September 2008第一層で止まった日――2008年9月
On September 15, 2008, Lehman Brothers failed. One of the most severe weeks in the history of global finance had begun. At that moment, the London clearing house LCH was clearing the interest rate swap portfolio Lehman held. Notional value came to roughly $9 trillion, across 66,390 trades2.
2008年9月15日、リーマン・ブラザーズが破綻した。世界の金融史でも、最も深刻な一週間の一つが始まった。このとき、ロンドンの清算機関LCHは、リーマンが保有していた金利スワップのポートフォリオを清算していた。想定元本は約9兆ドル、取引件数は66,390件に達していた2。
What followed, though, tracked the procedures laid down in advance to a degree that stood in contrast to the scale of the crisis. LCH opened its default management procedure and, following a rota agreed beforehand, called in traders from its member firms. Within a few days it hedged the portfolio, containing the growth of losses from movements in market prices.

Client positions were ported to other, sound clearing members. Clients were spared the loss of their own trades on account of the failure of the institution that had been clearing for them. The remaining positions were worked through between September 24 and October 3, 2008, in five competitive auctions, one for each currency. About three weeks after Lehman's default, the portfolio had been fully dealt with.

And the final loss was absorbed by roughly one-third of the margin Lehman itself had posted. Everything, in other words, was finished inside the first layer of the default waterfall. Neither Lehman's own default fund contribution nor the default fund of the other participants was touched. The surviving participants bore no loss, and LCH's own capital was left intact.

That same week, banks around the world stopped trusting one another, short-term lending seized up, and the bilateral markets were rapidly losing their ability to function. In one corner of the centrally cleared market, meanwhile, an extraordinarily large default was handled entirely within procedures designed ahead of time.
同じ週、世界中の銀行は互いを信用できなくなり、短期資金の貸し借りを止め、相対取引の市場は急速に機能を失っていた。その一方で、中央清算されていた市場の一角では、極めて大きな破綻が、事前に設計されていた手順の範囲内で処理された。
A layered defense working at its best does not mean using every layer. It means stopping the loss in the upper layer and never having to reach the layers below.
多層防御が最もうまく機能した状態とは、すべての層を使い切ることではない。上の層だけで損失を止め、下の層を使わずに済ませることである。
At LCH in 2008, the design worked at the first layer.

3The Day the Mutualized Resources Were Used — September 2018共同資源まで使われた日――2018年9月
Losses, however, do not always stop at the first layer. In September 2018, a single clearing member defaulted in the Nordic power futures market. The defaulter was not a financial institution but an individual trader — a private person who, through years of trading success, held positions on a scale comparable to an institution and cleared his trades directly as a clearing member.
しかし、損失が常に第一層で止まるとは限らない。2018年9月、北欧の電力先物市場で、一人の清算参加者が破綻した。破綻したのは金融機関ではなく、個人トレーダーだった。長年にわたる取引の成功によって、金融機関に匹敵する規模のポジションを持ち、清算参加者として直接取引を清算していた人物である。
This trader had built his positions on the assumption that the spread between Nordic and German power prices would narrow. But a combination of market factors sent the spread between the two markets not narrower but sharply wider. Losses swelled quickly, and the trader could no longer meet his margin calls.
このトレーダーは、北欧とドイツの電力価格の差が縮小することを前提に、ポジションを構築していた。しかし、複数の市場要因が重なり、両市場の価格差は縮小するどころか急激に拡大した。損失が急速に膨らみ、トレーダーは追加証拠金を支払うことができなくなった。
The commodities clearing arm of Nasdaq began default management in accordance with its established procedures. The positions were worked through in an auction within 48 hours. The losses that arose, however, could not be absorbed by the defaulter's own margin and default fund contribution alone.
ナスダック傘下の商品清算部門は、定められた手続きに従って破綻処理を開始した。ポジションは48時間以内にオークションを通じて処理された。だが、このとき生じた損失は、破綻者自身の証拠金とデフォルトファンド拠出金だけでは吸収できなかった。
The remaining loss came to €114 million. Of that, €7 million was borne by the CCP's own capital, and the remaining €107 million was paid out of the default fund contributed by the surviving participants. Roughly two-thirds of the commodities default fund was used to work through the default of a single participant3.
残った損失は1億1,400万ユーロに達した。そのうち700万ユーロをCCP自身の資本が負担し、残る1億700万ユーロは、生き残った参加者が拠出していたデフォルトファンドから支払われた。商品部門のデフォルトファンドのおよそ3分の2が、一人の参加者の破綻を処理するために使われた3。
A week later, the default fund had been built back up to its required level. The additional money came from the very surviving participants who had just lost their own contributions.
一週間後、デフォルトファンドは必要な水準まで再び積み直された。追加資金を拠出したのは、直前に自らの拠出金を失った生存参加者たちだった。
The system worked, one can fairly say. No chain of defaults followed, the market stayed open, and the losses were absorbed in the order the waterfall prescribed.
制度は機能したと言ってよい。連鎖破綻は起こらず、市場は開き続け、損失はウォーターフォールで定められた順序に従って吸収された。
Yet what this episode left the industry was not only the satisfaction of a system that had worked. Mutualization means that the bill for a loss caused by another participant arrives at your own door. Clearing members had understood this as a matter of institutional design. In 2018, for the first time, they felt what it meant as a concrete amount of money.
しかし、この事例が業界に残したのは、制度が機能したという達成感だけではなかった。相互化とは、他の参加者が起こした損失の請求書が、自分のもとへ届くことを意味する。清算参加者は、そのことを制度上は理解していた。だが2018年には、その意味を初めて具体的な金額として実感することになった。
At the same time, the question turned toward the CCP itself. In this default, the capital the CCP itself put up was €7 million — about one-fifteenth of the €107 million borne by the surviving participants. Across the industry as a whole, the capital a CCP contributes to its own waterfall — its Skin in the Game — is generally reckoned to account for only a small fraction of total default resources. If the party that sets the order of loss absorption, designs the margin models and monitors the participants carries only a thin burden itself, will enough discipline bear on its risk management? The Swedish financial supervisor later found serious risk-management deficiencies, including in the setting of margin, and sanctioned this clearing house. It did not, however, find that the specific margin-calculation issues identified had directly caused the 2018 losses. The fine was subsequently reduced on appeal.

The waterfall worked. But the question of how thick each of its layers ought to be had no easy answer.
ウォーターフォールは機能した。しかし、それぞれの層をどの程度の厚さにするべきかという問題には、簡単な答えがなかった。

And then, in 2022, came a situation that the thickness of the waterfall's layers alone could not explain. In March 2022, the price of nickel on the London Metal Exchange (LME) rose roughly fourfold in just three trading days. From around $27,000 a tonne, it briefly passed $100,000 in the early hours of March 8. Against the backdrop of Russia's invasion of Ukraine, a short squeeze was under way, in which the buying back of an enormous short position called forth still more buying back.
そして2022年には、ウォーターフォールの層の厚さだけでは説明できない事態が起きた。2022年3月、ロンドン金属取引所(LME)のニッケル価格は、わずか3営業日で約4倍に上昇した。1トン当たり2万7,000ドル前後だった価格は、3月8日の早朝、一時10万ドルを超えた。ロシアによるウクライナ侵攻を背景に、巨大な空売りポジションの買い戻しが、さらに別の買い戻しを呼ぶショートスクイーズが発生していた。
That morning, the LME suspended trading in nickel. Halting a market in the face of abnormal price movement can, like a circuit breaker, be seen as a response the system itself anticipates.
その朝、LMEはニッケルの取引を停止した。異常な価格変動に対して市場をいったん止めること自体は、サーキットブレーカーと同じく、制度の中に想定された対応と見ることができる。
But the LME then took a further and more drastic step. It cancelled every nickel trade executed from the small hours of that day onward. Trades that had been legally concluded were retroactively treated as never having existed.
しかし、LMEはその次に、さらに踏み込んだ措置を取った。同日の未明以降に成立したニッケル取引を、すべて取り消したのである。法的に成立していた取引が、さかのぼって存在しなかったことにされた。
Why was a response of that magnitude necessary? Working from materials the LME later filed in court, an independent researcher has reconstructed the counterfactual losses. It should be borne in mind that this is not a finding of fact by any court but an estimate built on the LME's own submissions; even so, it offers a handle on the scale of the crisis4.
なぜ、そこまでの対応が必要だったのか。後にLMEが法廷へ提出した資料を基に、独立研究者が反実仮想の損失を再構成している。これは裁判所が認定した事実ではなく、LME側の提出資料を基礎とした試算であることには注意が必要だが、危機の規模を理解する手掛かりにはなる4。
On that estimate, had the trades of March 8 been left standing and the rulebook followed, the clearing house would have had to call for $19.75 billion of intraday margin that morning. Payment would have been due within hours. That margin call alone could have pushed seven clearing members into default.
この試算によれば、3月8日の取引を有効なままとし、ルールブックに従って処理を進めていた場合、清算機関は、その日の朝に197億5,000万ドルの日中証拠金を請求する必要があった。支払期限は数時間後だった。その証拠金請求だけで、七つの清算参加者が破綻する可能性があった。
Working through those defaults was estimated to produce losses of about $2.6 billion, exceeding all pre-funded financial resources by roughly $220 million. Beyond that, the additional calls needed to rebuild the depleted default fund could have pushed five more participants into default. The chain worked out to twelve participants in all — 27 percent of the entire clearing membership.

Against that, the clearing house's own Skin in the Game stood at $22.75 million, and its default fund at about $1.1 billion. What regulation required of a CCP of this kind was financial resources able to withstand the simultaneous default of its two largest participants — the standard known as Cover 2. But the number of defaults contemplated that morning was not two; it was twelve.

What became clear in 2022 was a problem prior to whether the waterfall's resources were sufficient. The margin calls and liquidity demands themselves, arising even before the default-management process began, could have pushed multiple participants into trouble at once and set off an even larger chain reaction.
2022年に露わになったのは、ウォーターフォールの資源が足りるかどうか以前の問題だった。破綻処理に至る前の証拠金請求と流動性需要そのものが、複数の参加者を同時に追い込み、さらに大きな連鎖を招きかねなかった。
The waterfall is, in principle, a design by which the other participants and the CCP absorb the failure of one. But where many participants are exposed to the same liquidity need in the same direction at the same moment, that defense can bring on further defaults. A mechanism in which many support one is weak against the case where many all need support at once.
ウォーターフォールは、原則として、一人の破綻を他の参加者とCCPが受け止めるための設計である。しかし、多数の参加者が同じ時点に、同じ方向の流動性需要へさらされる局面では、その防御が別の破綻を引き起こすことがある。一人を多数で支える仕組みは、多数が同時に支えを必要とする事態には弱い。
The trade cancellation was an extremely strong measure. From the point of view of the market participants it fell on, trades that had been lawfully concluded and were showing a profit were erased unilaterally. Confidence in the fairness of the market, and in the standing of concluded contracts, was badly damaged. Elliott and Jane Street, among others, sued the LME.
取引取消しは、極めて強い措置だった。取消しの対象となった市場参加者から見れば、適法に成立し、利益を生んでいた取引が一方的に消されたことになる。市場の公正さと、成立した契約への信頼は大きく傷ついた。ElliottやJane StreetなどはLMEを提訴した。
In November 2023, the High Court dismissed the claims. In October 2024 the Court of Appeal rejected the appeal, and on January 28, 2025 the Supreme Court refused permission to appeal. That the LME had the power to cancel the trades was upheld through the courts. That, however, does not mean the LME's handling of the crisis as a whole was adequate.

In March 2025, the UK Financial Conduct Authority (FCA) fined the LME £9,245,900. It was the FCA's first enforcement action against a recognized investment exchange. According to the FCA's findings, the automatic price bands that constrain price movement had been switched off for more than three hours during the small hours of the morning. Those on duty were mainly junior staff, and the matter was not reported or escalated to senior management until the nickel price had already passed $100,000.

The cancellation, therefore, cannot be read simply as human discretion saving the market at the last moment. Human judgment did stop the crisis in the end; but it was also organizational and human judgment that failed to stop it earlier.

There are moments when mechanically enforcing the rules laid down in advance would destroy the system itself. At such moments, the discretion left outside the rules becomes necessary. But discretion is not a faculty that springs into being once the rules run out. Who decides, what information they look at, at what point they escalate to a superior, and how far they may intervene — all of it has to be prepared in normal times.
あらかじめ定められたルールを機械的に執行すれば、制度そのものを破壊しかねない局面は存在する。そのときには、ルールの外側に残された裁量が必要になる。しかし、裁量は、ルールが尽きた後に突然生まれる能力ではない。誰が判断し、どの情報を見て、どの時点で上級者へ報告し、どこまで介入できるのかを、平時から準備しておかなければならない。
5A Defense Moves the Load Somewhere Else防御は、別の場所に負荷を移す
So far I have looked at the waterfall as a defense against crisis. Putting layered defenses in place, however, does not by itself make the system as a whole safe.
ここまで、ウォーターフォールを危機への防御として見てきた。しかし、多層的な防御を整えれば、それで制度全体が安全になるわけではない。
The first problem is the concentration of risk. Trades gather where the defenses are thick and the clearing house is trusted. In plain vanilla interest rate swaps, the great majority of centrally cleared trades are concentrated in a single clearing house. The share varies by product and currency, but has sometimes been estimated at over 90 percent5.
第一の問題は、リスクの集中である。防御が厚く、信頼性の高い清算機関には、多くの取引が集まる。プレーンバニラの金利スワップでは、中央清算される取引の大部分が、一つの清算機関に集中している。商品や通貨によって差はあるものの、その市場シェアは9割を超えると推計されることもある5。
Central clearing reduces the bilateral credit risk that each financial institution used to carry. The risk itself does not disappear, though. A great many trades, and the risk they carry, are consolidated into one CCP.
中央清算によって、個々の金融機関が抱えていた相対取引の信用リスクは削減される。しかし、リスクそのものが消えるわけではない。多数の取引とリスクが、一つのCCPへ集約される。
A mechanism built to centrally manage counterparty risk that had been dispersed across a network of bilateral trades becomes, in itself, a piece of market infrastructure that absolutely cannot be allowed to fail. That is the paradox embedded in central clearing.
相対取引のネットワークに分散していたカウンターパーティー・リスクを集中的に管理する仕組みが、それ自体として「絶対に潰せない」市場インフラになる。中央清算には、そのような逆説がある。
The second problem is the side effects the defense produces. In March 2020, when the spread of Covid-19 convulsed the markets, clearing houses around the world raised margin. In the euro area, the additional initial margin posted by clearing members over the roughly three weeks from January 31 to March 20, 2020 came to about €30 billion — an increase of 32 percent6. Over the same period, initial margin on derivatives that were not centrally cleared was broadly unchanged.

Not all of that difference, however, can be laid at the door of CCP margin models. The standard model widely used for non-cleared trades responds relatively slowly to a short-lived rise in volatility. The fact that margin on the non-cleared side did not move is therefore not in itself a sign of a better response to the crisis. The structure of the problem nonetheless remains.
ただし、この差のすべてをCCPの証拠金モデルの問題に帰すことはできない。非清算取引で広く使われる標準モデルには、短期間のボラティリティ上昇に対して、比較的ゆっくりと反応する性質がある。そのため、非清算側の証拠金が動かなかったこと自体が、必ずしも優れた危機対応を意味するわけではない。それでも、問題の構造は残る。
At the very point when market participants most need cash, clearing houses collect additional cash and collateral from them in order to protect themselves. For any individual CCP, raising margin is rational self-protection. But if every CCP takes the same action at the same time, liquidity is drained rapidly out of the market as a whole. A defense that is correct for each institution can amplify a liquidity crisis across the system.
市場参加者が最も現金を必要とする局面で、清算機関は自らを守るために、参加者から追加の現金や担保を集める。個々のCCPにとっては、証拠金を引き上げることは合理的な自己防衛である。しかし、すべてのCCPが同時に同じ行動を取れば、市場全体から流動性が急速に吸い上げられる。個々の制度にとって正しい防御が、制度全体では流動性危機を増幅することがある。
Protection for each can become stress for all. What concentration risk and liquidity risk have in common is that institutional design cannot be judged inside the boundary of the institution alone.
個々の防御が、全体のストレスになる場合がある。集中リスクと流動性リスクに共通しているのは、制度設計は、その制度の境界の内側だけでは評価できないということである。
The question "can this CCP prevent its own failure?" is not enough. One has to go as far as "what do the actions this CCP takes to protect itself do to the rest of the market?"
「このCCPは、自らの破綻を防げるか」という問いだけでは不十分だ。「このCCPが自らを守るために取る行動は、市場の他の部分に何をもたらすか」まで見なければならない。
As a mechanism for working through the default of an individual participant, the waterfall is an outstanding design. On the problem of funding that defense draining liquidity from the market as a whole, international work following the 2020 market turmoil has broadened to cover margin transparency and predictability as well as participants' liquidity preparedness, and by late 2024 and into 2025 it had produced concrete policy proposals. The question now is how those proposals get implemented. Even so, there is still no complete answer to how to contain the possibility that the machinery built to protect the market weakens the very market it is meant to protect.
ウォーターフォールは、個々の参加者の破綻を処理する仕組みとしては、極めて優れた設計である。一方、防御のための資金調達が市場全体の流動性を奪う問題については、2020年の市場混乱を受けた国際的な検討が、証拠金の透明性や予測可能性、参加者の流動性準備へ広がり、二〇二四年末から二五年にかけて具体的な政策提言となった。いまは、その提言をどう実装するかの段階に入っている。それでも、守るための仕組みが、守るべき市場を弱らせる可能性をどう抑えるかという問題には、まだ完全な答えはない。
6Who Puts Up Their Own Money, and How Much誰が、どこまで身銭を切るのか
Thickening the layers of the waterfall does not necessarily make the system safer. The question is not only the total amount of money available, but who bears how much loss, and in what order. The emblem of that question is the CCP's own capital contribution, its Skin in the Game (SIG)7.
ウォーターフォールの層を厚くすれば、それだけ制度が安全になるとは限らない。問題は、利用できる資金の総額だけではなく、誰が、どの順序で、どの程度の損失を負担するかにある。その象徴が、CCP自身の資本拠出であるSkin in the Game(SIG)だ7。
If the CCP's own capital is exposed to losses as well, that acts as a brake on setting margin too low, or on adding risky products to the clearing perimeter without sufficient validation. The idea is that whoever designs the system, and asks clearing members to bear margin and default fund contributions, should also carry a share of the losses. A CCP showing that it shares in the risk also matters for earning the trust of the market.
CCPも自らの資本を損失にさらす仕組みにしておけば、証拠金を過度に低く設定したり、十分な検証をせずにリスクの高い商品を清算対象に加えたりすることへの歯止めになる。制度を設計し、清算参加者に証拠金やデフォルトファンドの負担を求める者も、自ら一定の損失を負うべきだという考え方である。CCPがリスクを共有する姿勢を示すことは、市場からの信頼を得る上でも重要になる。
But with SIG, too, bigger is not simply better. If the CCP's own burden is too small, the problem arises that most of the loss falls on clearing members while the CCP itself feels little pain. A CCP stands to gain from lowering margin to attract volume, or from widening the range of products it clears; if most of the losses that follow are borne by participants, its incentives around risk management can become distorted. It was this asymmetry of burden that was called into question in the Nordic power market in 2018.
しかし、SIGも大きければ大きいほどよいわけではない。CCP自身の負担が小さすぎれば、損失の大部分を清算参加者へ負わせながら、CCPは十分な痛みを負わないという問題が生じる。CCPにとって、証拠金を引き下げて取引量を増やしたり、清算対象を拡大したりする利益はある一方、その結果として生じる損失の多くを参加者が負担するのであれば、リスク管理のインセンティブは歪み得る。2018年の北欧電力市場で問われたのも、この負担の非対称性だった。
Make the CCP's own capital too thick, on the other hand, and a dependence may grow on the members' side — a sense that the CCP will bear it in the end. The incentive for clearing members to manage their own positions properly, and to monitor the risk management of other participants and of the CCP, may weaken. Tying up a large amount of capital as SIG also means a higher cost of capital for the CCP. If that feeds through into higher clearing fees, it raises the burden on market participants and can reduce the liquidity and competitiveness of the cleared market.
一方で、CCPの自己資本を過度に厚くすれば、今度は清算参加者側に「最終的にはCCPが負担する」という依存が生まれる可能性がある。清算参加者自身がポジションを適切に管理し、他の参加者やCCPのリスク管理を監視するインセンティブが弱まるかもしれない。また、多額の自己資本をSIGとして拘束することは、CCPにとって資本コストの増加を意味する。それが清算手数料の上昇につながれば、市場参加者の負担を増やし、清算市場の流動性や競争力を低下させる可能性もある。
Moreover, most of today's major CCPs sit within exchange groups that are for-profit companies, and as listed firms are asked to improve capital efficiency and shareholder value. Holding more capital as SIG lowers that efficiency, so there can be a management incentive to keep SIG as small as possible. On top of that, the major cleared markets are concentrated in a small number of CCPs; where no alternative exists, there is little competitive pressure to make a demand for a larger SIG stick.
さらに、現在の主要なCCPの多くは営利企業である取引所グループの傘下にあり、上場企業として資本効率や株主価値の向上も求められる。SIGを増やせば資本効率は下がるため、経営上はこれを抑えたいインセンティブが働き得る。加えて、主要な清算市場は少数のCCPに集中しており、代替先が無ければ、参加者がより大きなSIGを求めてもそれを通す競争圧力は弱い。
Setting a single, uniform level for SIG is therefore difficult. Too small and it undermines the CCP's discipline; too large and it may undermine the discipline of clearing members and the efficiency of the market. What matters is not the amount alone but that the reasoning behind it is set out transparently and tested continuously by regulators and market participants.
したがって、SIGに一律の適正値を設けることは難しい。小さすぎればCCPの規律を損ない、大きすぎれば清算参加者の規律や市場の効率を損なう可能性がある。重要なのは金額だけでなく、なぜその水準が選ばれたのかが透明に示され、規制当局と市場参加者によって継続的に検証されることである。
Designing a waterfall is not only a matter of deciding how much money will absorb losses. It is also a matter of deciding how much pain to place on whom so that the discipline of the system as a whole works best.
ウォーターフォールの設計とは、損失を吸収する資金の量を決めることだけではない。誰にどの程度の痛みを負わせれば、制度全体の規律が最もよく働くかを決めることでもある。

7On the Day It Breaks, the Design Shows Itself壊れた日に、設計は姿を現す
In 2008, the resources the defaulter itself had posted in advance worked as designed. In 2018, the meaning of a system of shared loss-bearing reached the surviving participants as an actual bill. In 2022, a limit came into view: activating the defense as the rules prescribed could itself have broken the market. What the three cases show is that preparing for a crisis is not completed simply by piling up more money.
2008年には、破綻者自身が事前に積んでいた資源が、設計どおりに働いた。2018年には、損失の共同負担という制度の意味が、現実の請求として生存参加者に届いた。2022年には、ルールどおりに防御を発動すること自体が、市場を壊しかねないという限界が現れた。三つの事例が示しているのは、危機への備えは、資金を厚く積むだけでは完成しないということだ。
Who bears the first loss? From what point is the loss mutualized across the other participants? When the defense is activated, what load does it place on the market as a whole? And who makes the call in a situation the rules never contemplated?
誰が最初に損失を負うのか。どの時点から、損失を他の参加者へ共同化するのか。防御を発動したとき、その防御が市場全体にどのような負荷を与えるのか。そして、ルールが想定していなかった事態に、誰が判断を下すのか。
In normal times, these differences are almost invisible. Margin, the default fund, the CCP's own capital, default management drills — all of it looks like nothing but cost. But the true worth of a system cannot be measured by the efficiency of normal times alone. When something breaks: who bore how much loss, in what order, and what could actually be moved.
平時には、これらの違いはほとんど見えない。証拠金も、デフォルトファンドも、CCPの自己資本も、破綻処理演習も、ただのコストに見える。しかし、制度の真価は、平時の効率だけでは測れない。何かが壊れたとき、誰が、どの順序で、どの程度の損失を負い、実際に何を動かすことができたのか。
