特定の基本契約と特定の法域の組み合わせについて、一括清算ネッティング条項が破綻時にも法的に有効であり執行可能であることを確認する法律意見書。ネッティング契約の有効性が法的に確認されている場合に限り、カウンターパーティ・エクスポージャーや自己資本比率規制上の所要額を純額ベースで計算することが認められる。

A legal opinion confirming whether a close-out netting clause is valid and enforceable under the insolvency law of a specific jurisdiction, for a specific master agreement. Regulatory capital rules permit net-basis exposure calculation only where such an opinion confirms legal validity, so its presence or absence directly affects the amount of capital a financial institution must hold.
